NOTICE OF CHANGE IN TERMS TO CERTAIN FROST BANK AGREEMENTS ("NOTICE")

Thank you for being a valued Frost Bank customer. This Notice highlights important changes to the terms of your Frost Bank Deposit Account Agreement and Other Disclosures, Online Banking Agreement and Disclosure, Zelle® Terms of Service Addendum to the Online Banking Agreement and Disclosure, Personal and Health Savings Account Debit Card Agreement and Disclosure, and Business Debit Card Agreement and Disclosure (collectively, the "Agreements") to be effective July 1, 2025. This Notice is only intended to provide a summary of the changes to the Agreements. In the event of an inconsistency between this Notice and the Agreements, the Agreements will govern.

After July 1, 2025, the Agreements will include these new and updated terms and conditions and will apply to you and your account, and your use of Frost Bank Online Banking Services, including the Frost App. Capitalized terms have the meanings provided in each of the Agreements.

CHANGES TO YOUR DEPOSIT ACCOUNT AGREEMENT AND OTHER DISCLOSURES
EFFECTIVE JULY 1, 2025

The Frost Bank Deposit Account Agreement and Other Disclosures governs your accounts and relationship with Frost Bank. Changes are summarized below.

  1. Updated Section II. (Definitions) to add new Instant Payments Service terms defining Person, RTP System, Sender, and Sending Financial Institution.
  2. Updated Section III.A. (Governing Law; Dispute Resolution; Arbitration; Statute of Limitations) to include a class action waiver and acknowledgement that each party to an arbitration will generally be responsible for their own costs and fees.
  3. Revised Section III.C. (Fraud and Loss Prevention; Legal Process; Legal Compliance; Reservation of Rights) to clarify processes when fraud prevention services are declined.
  4. Revised Section VI.C. (Funds Availability Policy Disclosure) to reflect changes related to Regulation CC with respect to the amounts that will be available the first Business Day of your check deposit as well as deposit amounts that may require a longer delay before all funds are available.
  5. Revised Section VI.D. (Deposit Rules) to disclose that dollar amount limits on check deposits made at ATMs may be imposed.
  6. Added Section VI.S. (Instant Payments Service) to describe a new channel through which certain deposits may be received.
  7. Revised Section VII.A. (Funds Availability Policy Disclosure) in accordance with updates to Regulation CC that change certain amounts available the first Business Day of a check deposit as well as deposit amounts that may result in a longer delay before funds are available.
  8. Revised Section X.B. (Required Disclosures Under Electronic Funds Transfer Act and the Consumer Financial Protection Bureau’s Regulation E) to clarify that Regulation E provisions exclude payments on any loan you have with us which you authorized us to automatically deduct from your Personal Account at the closing of the loan and to update Stop Payment Rights to clarify that changes to transaction information made by the payee may affect a stop payment request.

CHANGES TO YOUR FROST BANK ONLINE BANKING AGREEMENT AND DISCLOSURE
EFFECTIVE JULY 1, 2025

The Frost Bank Online Banking Agreement and Disclosure governs your use of Online Banking Services. Changes are summarized below.

1. Revised Section VI.M. (Governing Law; Dispute Resolution; Arbitration; Statute of Limitations) to align with revisions made to Section III.A. of the Deposit Account Agreement and Other Disclosures.


CHANGES TO YOUR FROST BANK ZELLE® TERMS OF SERVICE ADDENDUM
EFFECTIVE JULY 1, 2025

The Zelle® Terms of Service Addendum to the Frost Bank Online Banking Agreement and Disclosure ("Zelle Addendum") governs the use of the optional Zelle® Service. Changes are summarized below.

The Zelle Addendum has been revised to align with updates made by the Zelle Network®, which include the following changes:

  1. Revised Section A.(1) (Description of Zelle® Services) to clarify language for Zelle® tag.
  2. Revised Section A.(2) (Eligibility and User Profile) to disclose that Zelle® and Frost reserve the right to suspend/terminate use of the Service, to remove language allowing enrollment with debit cards, and to add language to account for Zelle® tag.
  3. Revised Section A.(5) (Wireless Operator Data) to include authorization for wireless carrier to disclose information.
  4. Revised Section A.(6) (Enrolling for the Zelle® Service) to add prohibition on use of toll-free numbers, reference to mobile disconnect notice, language to account for use of Zelle® tag, and to remove reference to profile picture.
  5. Revised Section A.(7) (Consent to Emails and Automated Text Messages) to add reference to Zelle® tag.
  6. Revised Section A.(8) (Receiving Money; Money Transfers by Network Financial Institutions) to clarify that other users could cause delay in receipt of money.
  7. Revised Section A.(9) (Sending Money; Debits by Network Financial Institutions) to clarify that other users could cause delay in sending money and to advise users to only send money to known and trusted parties.
  8. Revised Section A.(10) (Liability) to modify liability language regarding reimbursement for certain imposter scams.
  9. Revised Section A.(11) (Send Limits) to disclose send limits.
  10. Revised Section A.(12) (Requesting Money) to clarify when reminders may be sent.
  11. Revised Section A.(20) (Disclaimer of Warranties) to include Frost in the disclaimer of warranties.

CHANGES TO YOUR PERSONAL AND HEALTH SAVINGS ACCOUNT
DEBIT CARD AGREEMENT AND DISCLOSURE EFFECTIVE JULY 1, 2025

The Personal and Health Savings Account Debit Card Agreement and Disclosure (the "Personal Debit Card Agreement") covers your use of Frost Bank Personal and Health Savings Account Debit Cards. Changes are summarized below.

1. Revised Section 7 (Stop Payment) to clarify information required for stop payment requests on certain future recurring pre-authorized debit card transactions.


CHANGES TO YOUR BUSINESS DEBIT CARD AGREEMENT
AND DISCLOSURE EFFECTIVE JULY 1, 2025

The Business Debit Card Agreement and Disclosure (the "Business Debit Card Agreement") covers your use of Frost Bank Business Debit Cards. Changes are summarized below.

  1. Revised Section 28 (Stop Payment) to clarify information required for stop payment requests on certain future recurring pre-authorized debit card transactions.
  2. Revised Section 36 (Governing Law; Dispute Resolution; Arbitration; Statute of Limitations) to align with revisions made to Section III.A. of the Deposit Account Agreement and Other Disclosures.
