NOTICE OF CHANGE IN TERMS TO CERTAIN FROST BANK AGREEMENTS ("NOTICE")

Thank you for being a valued Frost Bank customer. This Notice highlights important changes to the terms of your Frost Deposit Account Agreement and Other Disclosures, Online Banking Agreement and Disclosure, the Zelle® Terms of Service Addendum, Personal and Health Savings Account Debit Card Agreement and Disclosure, and the Business Debit Card Agreement and Disclosure (collectively, the "Agreements") to be effective July 1, 2020.

After July 1, 2020, the Agreements will include these new and updated terms and conditions and will apply to you and your account, and your use of Frost Online Banking Services, including the Frost App. Capitalized terms have the meanings provided in each of the Agreements.

CHANGES TO YOUR DEPOSIT ACCOUNT AGREEMENT AND OTHER DISCLOSURES EFFECTIVE JULY 1, 2020

The Frost Bank Deposit Account Agreement and Other Disclosures governs your accounts and relationship with Frost Bank. Changes are summarized below.

(1) Revised Section III.C (Fraud and Loss Prevention; Legal Process; Legal Compliance; Reservation of Rights) to explain that you may be liable for losses from fraudulent activity if you refuse to comply with certain preventative measures after we have advised you of potential fraudulent activity regarding your account(s) and required such preventative measures as a result. Preventative measures may include closing your account or implementing fraud monitoring and prevention products or services.

(2) Revised Section VI.C (Funds Availability Policy Disclosure) to reflect changes related to Regulation CC with respect to the amounts that will be available the first Business Day of your check deposit as well as deposit amounts that may require a longer delay before all funds are available.

(3) Revised Section VI.P (Positive Pay Services) to clarify that you may be liable for fraud losses that could have been prevented if you fail to follow required procedures for the Positive Pay service.

(4) Revised Section VII.A.(2) (Funds Availability Policy – Longer Delays May Apply) in accordance with changes to Regulation CC that change certain amounts available the first Business Day of a check deposit as well as deposit amounts that may result in a longer delay before funds are available.


CHANGES TO YOUR ONLINE BANKING AGREEMENT AND DISCLOSURE EFFECTIVE JULY 1, 2020

The Frost Bank Online Banking Agreement and Disclosure contains the terms and conditions governing your use of Online Banking Services. Changes are summarized below.

(1) Revised Section III.B. (Using Online Banking Services – Security and Passwords; Additional Security Issues Regarding Internet Email and Mobile Banking Communications) to clarify that, in certain situations, Frost Bank may use information obtained from credit bureaus, affiliates, or other third-party companies for identity verification and fraud prevention purposes in accordance with Frost Bank’s Customer Privacy Statement.

(2) Revised Section IV.A.(1).f. (Bill Payment Services) to clarify that the scheduled delivery date for each individual Bill Payment is displayed at the time you submit a Bill Payment request.

(3) Revised Section IV.B.(1) (Optional Online Statement Delivery) to explain that online statement delivery can only be requested via Online Banking Services and not through a Frost Bank representative. Additionally, by choosing online statement delivery instead of paper-based delivery, you understand all statements, notices, and disclosures will be provided in electronic form and such service will continue until you change your delivery preferences or the Bank changes your delivery options at the Bank’s discretion.


CHANGES TO YOUR FROST BANK ZELLE® TERMS OF SERVICE ADDENDUM EFFECTIVE JULY 1, 2020

The Zelle Terms of Service Addendum to the Frost Bank Online Banking Agreement and Disclosure ("Zelle Addendum") governs the use of the optional Zelle Service. Changes are summarized below.

The Zelle Addendum has been revised to reflect changes mandated by the Zelle Network. These updates clarify that by using the service you are authorizing your mobile carrier to share certain information with Frost Bank or Zelle for identification and fraud investigation and prevention purposes.


CHANGES TO YOUR FROST ONLINE STATEMENT DELIVERY AGREEMENT AND DISCLOSURE EFFECTIVE JULY 1, 2020

Effective July 1, 2020, the Frost Bank Online Statement Delivery Agreement and Disclosure is deleted in its entirety. Its provisions will be contained in Section IV.B.(1) (Optional Online Statement Delivery) of the Frost Online Banking Agreement and Disclosure beginning July 1, 2020.


CHANGES TO YOUR PERSONAL AND HEALTH SAVINGS ACCOUNT DEBIT CARD AGREEMENT AND DISCLOSURE EFFECTIVE JULY 1, 2020

The Personal and Health Savings Account Debit Card Agreement and Disclosure (the "Personal Debit Card Agreement") covers your use of Frost Bank Personal Debit and Health Savings Account Cards. Changes are summarized below.

(1) Removed all references to Mastercard® and any related terms and conditions as Frost Bank no longer issues Mastercard® debit cards.

(2) Revised Section 3 (Types of Available Transfers and Limits on Transfers) to clarify certain limitations regarding maximum withdrawals at ATM terminals and to describe limitations on ATM operations when systems are down due to scheduled maintenance or other unforeseen circumstances.

(3) Revised Section 7 (Stop Payment) to clarify certain limitations regarding stop payments. Specifically, you may not place stop payment orders on any ATM, POS or debit card transactions, and you must contact Frost Bank by telephone or at a Frost financial center to stop payments for recurring transfers.

(4) Revised Section 13 (Governing Law) to clarify that disputes arising from or related to your account are governed by the laws of the State of Texas and your account is deemed opened in San Antonio, Texas, where Frost Bank corporate headquarters is located.

(5) Revised Section 14 (Your Liability for Unauthorized Transactions) to clarify your responsibility for promptly reporting unauthorized transactions in order to avoid liability for any unauthorized transactions.

(6) Revised Section 20 (Information About You; Account Updater Services; Visa Secure) to remove all Verified by Visa references and include information regarding the new Visa Secure service.

(7) Updated the Personal Debit Card and Health Savings Account Debit Card Safety Guidelines to provide you with certain additional best practices for ensuring secure banking transactions.


CHANGES TO YOUR BUSINESS DEBIT CARD AGREEMENT AND DISCLOSURE EFFECTIVE JULY 1, 2020

The Business Debit Card Agreement and Disclosure (the "Business Debit Card Agreement") covers your use of Frost Bank Business Debit Cards. Changes are summarized below.

(1) Removed all references to Mastercard® and any related terms and conditions as Frost Bank no longer issues Mastercard® debit cards.

(2) Removed Section 10.D.(ii) (Optional Mobile Banking Services: Additional Information Regarding SMS Text Messaging) because SMS text message is no longer supported.

(3) Revised Section 12.G. (Bill Payment Services) to clarify that the scheduled delivery date for each individual Bill Payment is displayed at the time you submit a Bill Payment request.

(4) Revised Section 13 (Liability/ Unauthorized Use/ Insufficient Funds) to clarify your responsibility for promptly reporting unauthorized transactions in order to avoid liability for any unauthorized transactions.

(5) Revised Section 25 (Maximum Dollar Limits) to clarify certain limitations regarding maximum withdrawals at ATM terminals and to describe limitations on ATM operations when systems are down due to scheduled maintenance or other unforeseen circumstances.

(6) Revised Section 26 (Disclosure of Account Information to Third Parties; Account Updater Services; Visa Secure) to include information regarding the new Visa Secure service.

(7) Revised Section 28 (Stop Payment) to clarify certain limitations regarding stop payments. Specifically, you may not place stop payment orders on any ATM, POS or debit card Transaction, and you must contact Frost Bank by telephone or at a Frost financial center to stop payments for recurring transfers.

(8) Included a new Section 29 (Documentation of Transfers) to provide information regarding receipts for transfers and to inform you that you will receive regular statements detailing all electronic fund transfers.

(9) Revised Section 33 (Charges and Fees) to advise you to review the current fee schedule for information regarding service charges and fees applicable to your account(s) and the use of your debit card, and to inform you about certain charges that may be imposed for transactions conducted at ATMs that are not operated by Frost Bank.

(10) Updated the Business Debit Card Safety Guidelines to provide you with certain best practices for ensuring secure banking transactions.
