James Waters serves as group executive vice president, general counsel and corporate secretary of Frost Bank and Cullen/Frost Bankers, Inc. (NYSE: CFR). In that role, he focuses on corporate law; complex negotiations; corporate governance, director compensation and board relations; strategic business initiatives; leading crisis response teams; technology; complex business transactions and commercial agreements; proxy statements; risk management; insurance matters; and managing outside counsel on real estate law, labor and employment, intellectual property and licensing.
Prior to joining Frost Bank, James was a partner with the law firm of Haynes and Boone, LLP. He was a member of the firm’s Finance Practice Group and the International Practice Group. James began his legal career as an associate in the New York office of the law firm of Shearman & Sterling, advising and representing domestic and foreign lenders in a wide range of finance and restructuring matters, and various family offices in connection with fund formation, governance matters and finance transactions.
James earned his Bachelor of Arts degree in International Affairs and Comparative Politics with a concentration in Latin American Studies from Columbia University and his Juris Doctor degree from Harvard Law School.
